PLEASE READ THESE TERMS CAREFULLY. THEY FORM A LEGALLY BINDING
AGREEMENT BETWEEN YOU AND WAITSTOP SOFTWARE COMPANY LLC.
These Terms of Service ("Terms") govern your access to and use of the WaitStop mobile application and any related websites, features, content, and services that link to these Terms (collectively, the "Services"). The Services are operated by WaitStop Software Company LLC, a Delaware limited liability company ("WaitStop," "we," "us," or "our").
The Services are available only to individuals who are at least 18 years old and are intended for personal, noncommercial use.
By checking the required acknowledgments and selecting “Agree and Continue,” you acknowledge that you have read, understood, and agree to be bound by these Terms. When presented with applicable subscription disclosures, selecting “Start Free Trial,” “Subscribe,” or a similar purchase control also confirms your agreement to these Terms. Changes to these Terms will be presented and accepted as described in Section 21. If you do not agree to these Terms, you may not create or continue to use a WaitStop account.
WaitStop's Privacy Policy explains how WaitStop collects, uses, discloses, retains, and protects personal information. Please review it before using the Services. Subscriptions purchased through the Apple App Store are also subject to the subscription terms displayed before purchase and any applicable Apple terms.
IMPORTANT: WaitStop is an AI-enabled voice-journaling application for personal self-reflection. WaitStop does not provide therapy, counseling, medical or mental-health care, diagnosis, treatment, professional advice, crisis monitoring, or emergency services. AI-generated content and automated screening may be incomplete or inaccurate and should not be relied upon to obtain professional or emergency help.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or use the Services. You confirm your age during registration. WaitStop does not currently require documentary age verification and relies on your confirmation, but may suspend or delete an account if it learns that the user is under 18.
You may not create an account for, permit access by, or use the Services on behalf of a person under 18. You may use the Services only for your own personal, noncommercial purposes and only where permitted by applicable law. The Services are offered for use in the United States only unless WaitStop expressly makes them available elsewhere.
WaitStop is an AI-enabled voice-journaling service for adults, designed to support personal self-reflection. The Services may allow you to record journal entries and receive AI-generated reflections, questions, recaps, and related features.
WaitStop does not provide therapy, counseling, medical or mental health services, diagnosis, treatment, professional advice, crisis monitoring, or emergency assistance. The Services are not a substitute for care from a qualified medical or mental health professional. No clinician reviews or responds to your entries for the purpose of providing care, diagnosis, treatment, therapy, counseling, or other professional advice.
If you believe that you or another person is in immediate danger or requires urgent assistance, contact emergency services or an appropriate crisis-support service. Do not use or rely on WaitStop to request, obtain, or coordinate emergency or crisis assistance.
Your use of the Services does not create a physician-patient, therapist-client, counselor-client, fiduciary, or other professional relationship between you and WaitStop, its personnel, or any service provider used to operate the Services.
AI-generated reflections, questions, recaps, and other content are not created or reviewed by a healthcare professional as part of providing the Services. They do not constitute medical, psychological, therapeutic, nutritional, or other professional advice, diagnosis, or treatment.
WaitStop personnel do not monitor or routinely review journal entries. Access to journal content is restricted to authorized personnel with a legitimate need for access to operate, secure, troubleshoot, or support the Services. Any access is limited to the information reasonably necessary for that purpose and does not constitute monitoring, professional review, or a promise to respond to journal content.
Certain content provided through the Services is generated using artificial intelligence. AI-generated content may be inaccurate, incomplete, inappropriate, or unsuitable for your circumstances. It is provided only to support personal reflection and should not be treated as professional advice or an assessment of your health or condition.
WaitStop may use third-party service providers to process information and operate AI-related features. Additional information about the information processed and the service providers involved is available in the Privacy Policy.
WaitStop uses automated tools that may limit or change the response displayed when certain content is identified and may instead display prewritten support information.
The screening is automated. No person monitors your entries as part of this process, and WaitStop takes no action on a flagged entry beyond changing what the Services display. You decide what to do next.
Automated screening is imperfect. It may fail to identify relevant content or may identify content incorrectly. It does not provide diagnosis, human monitoring, crisis intervention, or emergency assistance, and WaitStop does not contact emergency services or another person on your behalf.
Do not use WaitStop to seek emergency assistance or crisis intervention. WaitStop cannot summon assistance, contact another person, or intervene in an emergency.
If you believe that you or another person may be in immediate danger or require urgent assistance, contact appropriate emergency services or a crisis-support resource directly. Some screens may provide information about third-party support resources, but WaitStop does not operate those resources, guarantee their availability, or contact them on your behalf.
You are responsible for deciding when professional or emergency support is appropriate and for obtaining that support. The appearance or absence of support information in the Services should not affect that decision.
WaitStop's Privacy Policy describes how WaitStop collects, uses, discloses, retains, secures, and deletes personal information in connection with the Services. Please review the Privacy Policy before using the Services. Where applicable law requires separate consent for a particular processing activity, WaitStop will request that consent separately.
Journal content may include sensitive information concerning health, emotional state, eating, body image, relationships, or other personal matters. You decide what to record. Please do not include information about another person unless you have a lawful and appropriate basis to do so.
WaitStop does not sell journal content or use it for third-party advertising.
You must provide accurate and current registration information. You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You may not share your account or permit another person to use it.
Notify WaitStop promptly at support@waitstop.app if you believe that your account has been accessed without authorization or that your credentials have been compromised. WaitStop may require reasonable steps to verify account ownership before changing account information or responding to certain requests.
Subscription requirement. Creating new journal entries and generating new reflections, questions, or recaps requires an active subscription. Available plans, the subscription period, and the full price are displayed before purchase. Prices may change prospectively in accordance with Apple's processes and applicable law.
Free trial. Eligible new subscribers may be offered a free trial for the period displayed before enrollment. Unless you cancel before the trial ends, the subscription automatically converts to the selected paid plan at the price displayed when you began the trial.
Automatic renewal. Subscriptions renew automatically for successive periods until canceled through Apple. You must cancel before the applicable renewal deadline shown through your Apple Account to prevent the next renewal.
Cancellation. You may cancel through your Apple subscription settings. Cancellation takes effect at the end of the current paid period, and you ordinarily retain subscription access until then. Deleting your WaitStop account does not cancel an Apple subscription. You must cancel the subscription separately through Apple to stop future charges.
Refunds and billing issues. Apple processes subscription payments and administers refund requests under its policies. WaitStop does not receive your payment card information and generally cannot issue App Store refunds directly.
Purchase disclosures. The subscription screen displayed before purchase forms part of your agreement and identifies the plan selected, price, trial terms if applicable, automatic renewal terms, and cancellation method. By selecting "Start Free Trial" or "Subscribe," you agree to these Terms, acknowledge the Privacy Policy, and authorize the subscription described on that screen.
When a subscription expires or is canceled, you may continue to view your existing journal entries, reflections, and recaps and access your account settings. You may not record new entries or generate new reflections, questions, or recaps unless you resubscribe.
Expiration or cancellation of a subscription does not, by itself, delete, hide, or degrade your existing journal content.
You retain ownership of the journal entries, transcripts, check-ins, notes, and other content that you submit to the Services ("User Content"). WaitStop does not claim ownership of your User Content. To the extent AI-generated reflections, questions, or recaps presented in your account are capable of ownership under applicable law, WaitStop does not claim ownership of that content as against you.
You grant WaitStop a limited, nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, classify, and display User Content only as reasonably necessary to provide, operate, maintain, secure, troubleshoot, and administer the Services; perform the automated screening described in these Terms; use service providers as described in the Privacy Policy; comply with law; and enforce these Terms.
You represent that you have the rights necessary to submit User Content and permit its processing under these Terms. You remain responsible for User Content and for ensuring that it does not violate law or another person's rights.
The license in this section ends when the relevant content is deleted, except to the limited extent continued processing or retention is permitted by the Privacy Policy, required by law, necessary to complete a pending deletion process, or reasonably necessary to establish or defend legal rights.
Individual entries. You may delete individual journal entries using the controls available through the Services. A deleted entry is removed from your ordinary journal view and moved to Recently Deleted, where you can restore it for 30 days. After the 30-day recovery period, the entry is permanently deleted, subject to the limited retention practices described in the Privacy Policy.
Account deletion. You may choose standard account deletion, which places your account in a 30-day recovery period. During that period, you may sign in and view your existing journal content, but you may not record new entries or generate new reflections, questions, or recaps. You may cancel the deletion request during the recovery period by affirmatively choosing Restore Account. After the 30-day recovery period, deletion becomes final, subject to the limited retention practices described in the Privacy Policy. WaitStop also provides an immediate permanent deletion option that does not include a recovery period.
Subscription reminder. Deleting your WaitStop account does not cancel a subscription administered through Apple. You must cancel the subscription separately through your Apple Account settings.
You may use the Services only for lawful, personal, and noncommercial purposes and in accordance with these Terms. You agree not to:
use the Services for an unlawful, fraudulent, abusive, or deceptive purpose;
use the Services on behalf of, or permit access by, a person under 18;
impersonate another person, misrepresent your identity, or provide false account information;
upload or submit content that infringes another person's rights or that you are not authorized to provide;
interfere with, disrupt, overload, damage, or attempt unauthorized access to the Services or related systems;
circumvent access controls, subscription controls, safety features, usage limits, or security measures;
reverse engineer, decompile, disassemble, scrape, copy, or attempt to discover source code, prompts, models, or nonpublic components of the Services except where applicable law expressly permits it; or
use the Services or their output to develop, train, test, or improve a competing product or model without WaitStop's written permission.
WaitStop may investigate suspected violations and may suspend or terminate access where reasonably necessary to protect users, the Services, third parties, or legal rights.
The Services, including their software, interface, designs, branding, documentation, prompts, workflows, and content other than User Content, are owned by WaitStop or its licensors and are protected by intellectual property and other laws. If you provide suggestions, ideas, or other feedback about the Services, you grant WaitStop a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation, provided WaitStop does not publicly identify you as the source without permission.
Subject to your compliance with these Terms, WaitStop grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to install and use the application for your personal, noncommercial use on devices that you own or control and as permitted by applicable App Store usage rules.
No right or license is granted except as expressly stated in these Terms. WaitStop and its licensors reserve all other rights.
Open-source components included in the Services may be subject to separate license terms, which will control with respect to those components.
The Services depend on third-party providers for functions such as transcription, artificial-intelligence processing, hosting, authentication, email delivery, and subscription administration. WaitStop does not control every aspect of those services and does not guarantee that they will always be available, accurate, or unchanged. Provider roles and data practices are described in the Privacy Policy.
The Services may display or link to external support resources, websites, or services. A link or reference does not constitute endorsement, and WaitStop is not responsible for the availability, content, privacy practices, or conduct of a third party. Your use of third-party services may be subject to separate terms.
You may stop using the Services at any time and may delete your account as described above. WaitStop may suspend, restrict, or terminate access if you materially violate these Terms; use the Services fraudulently or unlawfully; create a security, legal, or operational risk; or if suspension or termination is reasonably necessary to protect a person, WaitStop, a third party, or comply with law.
Where reasonably practicable, WaitStop will provide notice before terminating an account, but immediate action may be necessary in cases involving security, fraud, legal requirements, or material harm. Suspension or termination does not automatically cancel an Apple subscription unless Apple processes the cancellation.
WaitStop may add, modify, suspend, or discontinue features and may change technical requirements. WaitStop will provide notice of a material change where required by law. WaitStop does not promise that any particular feature will remain available indefinitely.
Effect of Termination. Termination or expiration of these Terms will not affect any rights or obligations that arose before termination. The sections titled Your Content, WaitStop Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and Miscellaneous, together with any other provisions that by their nature are intended to survive, will survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WAITSTOP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
Without limiting the foregoing, WaitStop does not warrant that the Services will be uninterrupted, secure, error-free, or free from harmful components; that data will never be lost; that transcription will accurately capture what you said; that AI-generated content will be accurate, appropriate, useful, or suitable for you; that automated screening will identify any particular content; or that support resources will be available or appropriate.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law, and you retain any nonwaivable consumer rights.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAITSTOP AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WAITSTOP AND THE PERSONS LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNT YOU PAID FOR WAITSTOP SUBSCRIPTIONS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited, including liability arising from fraud, willful misconduct, or other matters for which applicable law prohibits limitation.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless WaitStop and its members, managers, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, and reasonable legal expenses arising from: (a) your unlawful or unauthorized use of the Services; (b) your material breach of these Terms; or (c) User Content that infringes or violates a third party's rights. WaitStop will provide reasonable notice of a covered claim and may control its defense and settlement, but will not settle a claim in a manner that admits wrongdoing by you or imposes a nonmonetary obligation on you without your consent.
These Terms are between you and WaitStop, not Apple Inc. (“Apple”). WaitStop, not Apple, is responsible for the Application and its content. Your license is limited to a nontransferable license to use the Application on Apple-branded products that you own or control, as permitted by Apple’s applicable usage rules, except that the Application may also be accessed and used by other eligible accounts through Family Sharing, volume purchasing, or Legacy Contacts.
WaitStop is responsible for any maintenance and support required for the Application. Apple has no obligation to provide maintenance or support. If the Application fails to comply with an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the extent permitted by law, Apple has no other warranty responsibility for the Application. WaitStop, not Apple, is responsible for addressing claims relating to the Application, including product-liability, consumer-protection, privacy, regulatory, and intellectual-property claims. If a third party claims that the Application or your possession or use of it infringes that party’s intellectual-property rights, WaitStop, not Apple, is responsible for investigating, defending, settling, and resolving that claim.
You represent and warrant that you are not located in a region that is subject to a United States government embargo or that has been designated by the United States government as a "terrorist supporting" region, and that you are not listed on any United States government list of prohibited or restricted parties. You must comply with applicable third-party terms when using the Application.
Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
WaitStop may update these Terms from time to time. Each updated version will state its Effective Date. If a change is material, WaitStop will provide notice through the Services, by email, or by another reasonable method.
If WaitStop requires you to accept updated Terms, they will apply to you only after you accept them. Until then, your use of the Services will continue to be governed by the Terms you previously accepted.
Changes that do not require renewed acceptance may take effect on the stated Effective Date, to the extent permitted by law.
Informal Resolution. Before starting arbitration or filing a lawsuit, you and WaitStop agree to make a good-faith effort to resolve the dispute informally. A party raising a dispute must provide written notice describing the dispute and the requested resolution. Notices to WaitStop may be sent to support@waitstop.app. The parties will have 30 days after receipt of the notice to try to resolve the dispute.
Individual Arbitration. Except for matters that qualify for small-claims court or that applicable law does not permit to be resolved through predispute arbitration, any dispute arising out of or relating to these Terms or the Services, including a dispute concerning the formation, interpretation, performance, breach, or termination of these Terms, will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this arbitration provision.
The arbitration will be conducted by one neutral arbitrator. It may be conducted by video, telephone, written submissions, or in person as permitted by the AAA rules. Any in-person hearing will take place at a location reasonably convenient to you unless the parties agree otherwise. Arbitration fees and costs will be allocated as required by the AAA Consumer Arbitration Rules and applicable law. The arbitrator may award any individual remedy that would otherwise be available in court.
Small Claims. Either party may bring an individual claim in a court that has jurisdiction over qualifying small-claims matters instead of proceeding in arbitration.
No Class or Representative Proceedings. To the fullest extent permitted by law, you and WaitStop agree that disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, or representative action or arbitration. An arbitrator may award relief only to the individual party seeking relief and only as necessary to resolve that party's individual claim.
If this waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be decided by a court of competent jurisdiction and not through class or representative arbitration.
Mass Arbitration. If AAA determines that multiple substantially similar individual arbitration demands constitute a mass arbitration, the AAA Mass Arbitration Supplementary Rules and applicable mass-arbitration fee schedule will apply.
Governing Law and Court Proceedings. These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration provisions above and the law of your state of residence may provide nonwaivable consumer protections. Any dispute that is not subject to arbitration or eligible for small-claims court may be brought in a state or federal court of competent jurisdiction in Arizona, except where applicable law provides otherwise.
Survival. This Section survives termination of these Terms or deletion of your WaitStop account.
Entire agreement. These Terms, the subscription terms displayed before purchase, and any additional terms expressly presented for a particular feature constitute the entire agreement between you and WaitStop concerning the Services. The Privacy Policy separately describes WaitStop’s data practices.
Electronic communications. You agree that WaitStop may provide agreements, notices, disclosures, and other communications electronically through the Services or by email. Electronic records and affirmative electronic actions may satisfy legal writing and signature requirements to the extent permitted by law. You may retain copies for your records.
Assignment. You may not assign or transfer these Terms without WaitStop's prior written consent. WaitStop may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law.
Relationship. These Terms do not create an employment, agency, partnership, joint-venture, fiduciary, medical, therapeutic, or other professional relationship between you and WaitStop.
Severability. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
No waiver. A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
No third-party beneficiaries. Except for Apple and its subsidiaries as stated in Section 20, these Terms do not create rights for any third party.
Headings. Headings are for convenience and do not affect interpretation.
Force majeure. WaitStop is not responsible for delay or failure caused by events beyond its reasonable control, including failures of internet, cloud, telecommunications, power, or third-party services, except where applicable law provides otherwise.
